We/I agree to follow the Company's Terms & Conditions of Sale after reading and understanding them (a copy is available upon request). We also agree that Cluster Technologies can call the banks and trade references we gave above to check our information.
Terms of Service: Information About Products and Services
The terms and conditions below apply to all orders placed by the Customer and accepted by Cluster Technologies. These conditions will apply to all contracts and will be included to the agreement automatically after it is approved.
By agreeing to these conditions, the Customer agrees to any quote or calculation for products and/or services that Cluster Technologies gives them.
These terms and conditions take the place of any earlier agreements between the parties on providing goods or services.
Cluster Technologies only approves orders when they send a formal confirmation or start delivering the goods or services.
Before sending in the order, the Customer must make sure that all the information is correct, including any requirements. Cluster Technologies must agree to any changes to the order, and they may charge more for them.
Terms of Payment
Cluster Technologies may give credit to a customer depending on their financial situation and the completion of a credit application. Both sides will talk about and agree on the conditions of credit in writing.
Unless credit terms have been set up, payment for all goods and services is due "cash with order."
Customers who have been given authorized credit terms must pay within 30 days of the invoice date, unless they agree in writing to a different date.
Cluster Technologies might hold off on delivering goods or services until payment has been received and credited to its account.
Cluster Technologies might stop delivering or providing services if payments are not provided on time.
Terms of Service (Limitations of Liability)
Cluster Technologies will not be responsible for any loss, damage, or cost that comes from:
Any failure or delay in fulfilling our contractual duties because of something we couldn't have predicted, such fire, flood, war, or terrorism.
Any problems or delays caused by suppliers, transporters, or services that are not directly controlled by Cluster Technologies.
Loss of income, earnings, goodwill, or commercial possibilities, as well as indirect or consequential loss, that happens because of delays or failure to execute orders or services.
Guarantee
Cluster Technologies promises that the goods and services they supply will satisfy the terms of the contract and will be free of defects for the length of the agreed-upon warranty period.
The Customer loses this guarantee if they have messed with, mistreated, or improperly handled or stored the items.
You have to make any claims for bad products or services within 30 days of getting them or having the service done.
Rights to Intellectual Property
Cluster Technologies or its licensors own all intellectual property rights in any product, design, or documentation that they give you. This includes, but is not limited to, trademarks, patents, and copyright.
The Customer undertakes not to copy, share, or change any product or documentation that Cluster Technologies gives them without first getting explicit permission.
Privacy
Both sides undertake to maintain any proprietary information, such as pricing, trade secrets, and customer data, private. This duty will last for the whole time the agreement is in existence and will still be in effect after the contract ends.
Cluster Technologies will do everything it can to keep the Customer's data private and will only share it with other parties if the law requires it or if the Customer gives their express permission beforehand.
How to Fill Out the Credit Application Form
Please make sure you carefully follow these procedures to finish your credit application:
Fill out the application form: Fill out all of the form's mandatory parts. Make sure you include correct and current information about your business, its owners, and its finances.
Provide Supporting papers: Make sure you send in the following papers with your application:
Proof that the business is registered
Recent Financial Statements (for the last 12 months)
A recent bank statement or a bank reference letter
At least two Trade References
Review and Submit: After you have sent in all of your information and papers, take the time to thoroughly read your application before sending it in. The approval procedure may take longer if applications are not complete.
Wait for Approval: After you send in your application, Cluster Technologies will look it over and get in touch with you if they need more information. You will get the verdict on your credit account after the review procedure is over.
Terms of Credit
Standard Payment Terms: If you are accepted for credit, we will talk to you about your payment terms. Unless anything else is agreed upon, the typical payment terms are 30 days from the date of the invoice.
Late Payments: Cluster Technologies can impose interest on late payments at the rate stated in the contract. If you don't pay on time, you may not be able to place any further orders or get any more credit.
Signing and agreeing
The Customer agrees to the terms and conditions put out by Cluster Technologies and confirms that all the information they have given is correct by signing this application. Cluster Technologies must give written permission for any changes to the credit arrangement.
